Amprion has today issued further green bonds with a total volume of EUR 1.5 billion. With this transaction, Amprion has completed its bond funding for the 2026 financial year. The funds will exclusively be used to finance sustainable projects for the expansion and upgrading of the transmission grid, and thus towards the implementation of the energy transition in Germany.
The bonds have been issued in two tranches and will be listed on the Euro MTF market of the Luxembourg Stock Exchange:
- The first tranche in a volume of EUR 750 million and maturing in 6 years carries an interest coupon of 4.398% p.a.
- The second tranche in a volume of EUR 750 million and maturing in 10 years carries an interest coupon of 4.838% p.a.
The transaction has been arranged under Amprion's EUR 25 billion debt issuance program, supported by considerably positive interest and demand from debt investors.
Amprion expects these bonds to receive a “Baa2” rating from Moody's and an “A-” rating from Fitch.

Evolution of the shareholder structure
Over the past few months, there have been changes to Amprion’s shareholder structure, which the company expressly welcomes.
Subject to the completion of its most recent acquisition, RWE holds a majority stake in M 31 Beteiligungsgesellschaft mbH & Co. Energie KG and thus an indirect stake in Amprion GmbH totalling around 58 %. The direct ownership structure remains unchanged. In RWE, Amprion has one of the largest energy companies in Germany and Europe as a financially strong partner, which has already announced to invest EUR 7 billion in Amprion by 2031.
Use of proceeds in accordance with the Green Finance Framework
The proceeds of today’s transaction will be used exclusively for sustainable projects that meet the criteria of the Amprion Green Finance Framework. The framework was drawn up in accordance with the international Green Bond Principles and confirmed by the renowned ESG rating agency Sustainalytics by means of a second-party opinion.
Amprion executed the issuance jointly with Bank of America, BNP Paribas and ING, which acted as Global Coordinators. Bayerische Landesbank, Crédit Agricole, DZ Bank and Hessische Landesbank acted as Active Bookrunners.
